These Terms of Service ("Terms") govern access to and use of the ShiftScript platform ("Service"), operated by ShiftScript Ltd ("ShiftScript", "we", "us", "our"), a company registered in New Zealand. By creating an account, uploading documents, or otherwise using the Service, you ("User", "you") accept these Terms in full. If you are acting on behalf of an organisation, you represent and warrant that you have authority to bind that organisation.
ShiftScript is a document-grounded AI query platform. Users upload organisational documents (policies, procedures, legislation, SOPs) to a private workspace. Staff members may then submit natural-language queries. The Service retrieves relevant fragments from uploaded documents and uses AI language models to generate responses citing the source material. All responses are grounded in the documents you upload — the Service does not access the internet or external knowledge bases during query processing.
You agree not to use the Service to:
AI-generated responses are based solely on the documents you upload. ShiftScript does not warrant that responses are legally accurate, complete, or current. Responses should be treated as a starting point for staff to verify against the source document, not as a definitive legal or regulatory determination. Your organisation retains full responsibility for compliance with applicable regulations, regardless of information provided through the Service.
ShiftScript is not a law firm and the Service is not a legal advice service. Where a situation requires professional legal, clinical, or regulatory advice, staff should be directed to an appropriate professional.
You retain full ownership of all documents you upload. By uploading documents, you grant ShiftScript a limited licence to process, store, and retrieve those documents solely for the purpose of providing the Service to you. ShiftScript does not use your documents to train AI models, share them with other organisations, or retain them beyond the active deletion of your workspace. Document storage, chunking, and retrieval occur on Cloudflare's infrastructure (R2, Durable Objects, D1) and do not leave Cloudflare's network. Full details are set out in our Privacy Policy.
Subscription plans are as published on shiftscript.nz/pricing at the time of purchase. Plans are billed monthly in New Zealand dollars (NZD) unless an annual plan is selected. Prices include GST where applicable. Payment is processed by Stripe Inc. Cancellation takes effect at the end of the current paid billing period, after which access to the workspace is suspended. Data is retained for 30 days post-cancellation and then permanently purged unless you request earlier deletion. Annual subscriptions may be refunded on a pro-rata basis at ShiftScript's discretion where the request is made within 30 days of payment. ShiftScript reserves the right to change pricing on 30 days' written notice to the billing email address.
ShiftScript is built on Cloudflare's global infrastructure with a 99.9% uptime target. We do not guarantee uninterrupted access. Planned maintenance will be announced at least 24 hours in advance where possible. ShiftScript is not liable for service interruptions caused by Cloudflare infrastructure failures, internet connectivity issues, or force majeure events.
The ShiftScript platform, including its source code, design, training methodology, and system architecture, is the exclusive intellectual property of ShiftScript Ltd. No licence is granted to copy, reproduce, modify, or distribute any part of the platform. The ShiftScript name and logo are trademarks of ShiftScript Ltd.
To the maximum extent permitted by New Zealand law, ShiftScript Ltd's total aggregate liability to any User for any claim arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by that User to ShiftScript in the 12 months preceding the claim. In no event shall ShiftScript be liable for indirect, consequential, incidental, special, or punitive damages, including loss of profit, loss of data, or business interruption, even if ShiftScript has been advised of the possibility of such damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any liability that cannot be excluded by law.
You agree to indemnify and hold harmless ShiftScript Ltd, its officers, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) documents you upload that infringe third-party intellectual property rights or that you lacked authority to upload; or (c) your violation of any applicable law or regulation.
ShiftScript reserves the right to suspend or terminate any account immediately where: (a) these Terms are materially breached; (b) use of the Service creates legal risk for ShiftScript or third parties; or (c) required by law. Upon termination, your workspace data will be retained for 30 days then permanently purged. You may terminate your subscription at any time from your account settings.
ShiftScript may update these Terms from time to time. Material changes will be notified to the billing email address at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of New Zealand. Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by arbitration under the Arbitration Act 1996 (NZ), conducted in Palmerston North, New Zealand. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Where the Service is acquired for personal, domestic, or household use, the Consumer Guarantees Act 1993 (NZ) may provide guarantees that cannot be excluded. Nothing in these Terms is intended to limit rights that cannot be excluded under NZ consumer protection legislation.
